Harryalexandersmith offers executive consulting, process optimization, and quality audit services for companies in the corporate sector in Argentina. Each engagement is defined by a written proposal specifying the scope, deliverables, timeline, and agreed fees.

The client acknowledges that consulting results depend on internal implementation and the commitment of their own team. No specific financial results or automatic certifications are guaranteed.

The client undertakes to provide truthful, complete, and timely information throughout the consulting or audit process. This includes access to facilities, personnel, documentation, and information systems relevant to the project.

The client will designate a single point of contact with decision-making authority to facilitate communication and approve work plan milestones. Any delay in the delivery of information by the client may modify the agreed timeline.

All documentation, methodologies, tools, and frameworks developed by Harryalexandersmith during the project are its intellectual property. The client receives a non-exclusive, non-transferable license to use the final deliverables, limited to the purpose of the contracted project.

Both parties undertake to maintain the confidentiality of information exchanged during the business relationship, even after the service has ended. This obligation does not apply to information that is in the public domain or that must be disclosed by legal requirement.

The total liability of Harryalexandersmith for any claim arising from the service provided is limited to the total amount paid by the client in the last six months. Under no circumstances shall it be liable for indirect damages, loss of income, business interruption, or third-party costs.

The client is solely responsible for the decisions they make based on the recommendations delivered. Quality audits are performed in accordance with standards in effect at the time of the evaluation but do not constitute a permanent guarantee of future compliance.

Fees are invoiced as stipulated in the signed proposal. Payments are made within 15 business days after the invoice is issued, unless otherwise agreed in writing.

The client may cancel the service with a minimum notice of 10 business days. In the event of cancellation, services actually rendered up to the date of notification will be invoiced, plus any non-recoverable expenses already incurred. No additional penalties will apply.

Harryalexandersmith reserves the right to modify these terms at any time. Changes will be communicated to the client at least 15 days in advance. If the client does not accept the modifications, they may terminate the contract without penalty within 10 days of notification.

These terms remain in effect as long as an active contractual relationship exists between the parties. The confidentiality and intellectual property clauses survive even after the service has ended.

Any dispute arising from these terms shall be resolved before the ordinary courts of the Autonomous City of Buenos Aires, Argentina, with express waiver of any other jurisdiction.
